Terms of the Affiliate Program

"Refer Cryptiony"

  • Section 1 Preliminary Provisions
  1. These Terms of the Affiliate Program set out the rules of cooperation between the Organizer, i.e. Cryptiony R&D sp. z o. o., and the Partner, with regard to promotional and advertising activities concerning the Services offered by the Organizer.
  2. The Organizer of the Affiliate Program is Cryptiony R&D sp. z o.o., based in Łódź, address: Wólczańska 125, 90-521 Łódź, entered in the Register of Entrepreneurs kept by the District Court for Łódź Śródmieście in Łódź, XX Commercial Department of the National Court Register, under KRS number 0000877264, with NIP number 7272847168.
  3. The Program is directed to the Users of the Cryptiony Platform and is aimed at encouraging the use of the Organizer’s services. The Program allows the Partner to obtain funds for Successful Referral of the Organizer’s Services.

Section 2 Definitions

The terms used in these Terms shall mean respectively:

  1. Organizer – the company operating under the name Cryptiony R&D sp. z o.o., based in Łódź, address: Wólczańska 125, 90-521 Łódź, entered in the Register of Entrepreneurs kept by the District Court for Łódź Śródmieście in Łódź, XX Commercial Department of the National Court Register, under KRS number 0000877264, with NIP number 7272847168. The Organizer is also referred to as “Cryptiony R&D”.
  2. Partner – a participant of the Affiliate Program, i.e. a User of the Cryptiony Platform who has joined the Affiliate Program.
  3. Partner’s Website – a website, a fanpage on Facebook, a profile on the website through which the Partner promotes the Organizer’s Services, which is managed by the Partner and on which the Partner has the right to issue advertisements.
  4. Affiliate Program or Program – an affiliate program run by the Organizer on the Cryptiony Platform, consisting of cooperation between the Organizer and the Partner to promote, market and sell the Services offered by the Organizer.
  5. Affiliate Program Panel – the Affiliate Program management panel, individual for the Partner, available in the Affiliate Program tab of the User Account profile at app.cryptiony.com/user/affiliate.
  6. Terms or Affiliate Program Regulations – this document, which is the only document defining the rules of the Affiliate Program.
  7. Terms of Website – the rules and regulations for the provision of Services by Cryptiony R&D, available at cryptiony.com//en/terms-of-affliate-program
  8. Organizer’s Customer or Customer – any entity that, using the Cryptiony Platform, has entered into an agreement with the Organizer for the provision of the Cryptiony Service.
  9. Potential Customer – any entity that is not, nor was, a Customer of the Organizer.
  10. Referral Link – a unique link individually assigned to a given Partner, by means of which the Partner recommends the Organizer’s services to Potential Customers.
  11. Affiliate Campaign – a set of coordinated and organized promotional and advertising activities of the Partner, within the framework of which the Partner defined in the Affiliate Program Panel the amount of allocated commission for the Partner and discount for the Customer, and the Organizer’s IT system assigned a Referral Link unique for the Affiliate Campaign.
  12. Materials – advertising materials in the form of text, graphics and information about the Service, provided to the Partner by the Organizer, including those containing the Referral Link.
  13. Partner’s Materials – materials individually modified by the Partner, after prior consultation and approval by the Organizer.
  14. Referred Customer – a Potential Customer to whom the Partner has recommended the Organizer’s services by providing a Referral Link.
  15. Remuneration – remuneration due to the Partner on each Service ordered and properly paid for by the Referred Customer, in accordance with the rules set forth in the Terms.
  16. Successful Referral of the Organizer’s Services – a referral that, as a result of the creation of a User Account by the Referred Customer on the Cryptiony Platform using the Referral Link, in accordance with the principles set forth in the Terms, results in the ordering and payment by the Referred Customer of a Cryptiony Service offered by the Organizer. Successful Referral results in the Partner being granted a certain amount of Remuneration, in accordance with further provisions of the Terms.
  17. Pay Per Click or PPC – a type of Internet advertising, the key role of which is the payment per click, rather than per display. A person advertising his company or services pays for each user who goes to the advertiser’s site via a banner.

Other terms used in the Terms have the meaning given to them in the Terms of the Website.

Section 3 Participation in the Program

  1. Acceptance of the Terms is tantamount to full acceptance of all terms and conditions stipulated therein and acceptance of the Partner’s commitment to comply with the obligations under the Terms.
  2. Participation in the Affiliate Program is completely voluntary and free of charge.
  3. Joining the Program is possible at any time during its duration.
  4. Joining the Affiliate Program does not require any additional agreement.
  5. In order to join the Program, the user must enter the Affiliate Program Panel, accept the Affiliate Program Terms and confirm his desire to join the Program by clicking the “I’m joining” button.
  6. The Partner, in order to recommend the services of the Organizer, uses an individual Referral Link, assigned by the Organizer’s IT system.
  7. In order to withdraw the collected funds, the Partner is obliged to submit a Withdrawal Order in the Panel of the Affiliate Program, including, in particular, to provide the Organizer with the data, i.e. name and surname, address of residence and Polish bank account number.
  8. The Partner is obliged to provide true identification data. The Partner shall bear full responsibility for providing incorrect identification data, in particular related to the inability to provide the benefits provided for in the Terms.
  9. The Organizer reserves the right to verify the correctness of the Partner’s identification data, e.g. by directing the request sent via e-mail to provide a scanned version of the Partner’s identification documents. In case of lack of confirmation of identification data within 14 days from the date of sending the request by the Organizer or incorrect confirmation, the Organizer has the right to exclude the Partner from further participation in the Program, while the Partner retains all rights obtained during the Program.
  10. The Partner has the ability to view and change his data through his User Account on the Cryptiony Platform.

Section 4 Referral of Services

  1. Referral of the Organizer’s services is made by providing the Potential Customer with a Referral Link.
  2. The transfer of the Referral Link may be carried out in any way, in particular by: publishing on a website/blog, publishing on social media (e.g. “Facebook”, “YouTube”), sending in an email, sending in an SMS, etc.
  3. At the moment of clicking on the Referral Link, a Cookie is placed in the Referred Customer’s web browser (if his system allows it), identifying the Partner who recommended the Organizer’s services.
  4. If the Organizer’s Services are recommended to a Potential Customer by more than one Partner, such User (if he creates a User Account) will be assigned to the last Partner who recommended the Organizer’s Services.
  5. If a Referred Customer uses the Organizer’s Services (creates a User Account on the Cryptiony Platform) through a web browser that has a Cookie assigned to a particular Partner, the referral will be assigned to that Partner and will be visible in that Partner’s User Account.
  6. If a user of a site managed by an Affiliate uses a link contained in a Referral Link, he will be taken to the Website, which will tag the user with the Partner’s ID and store this information in a Cookie file on the user’s computer. The assignment will be effective until:
  7. expiration of the Cookie file; 
  8. the Cookie file is deleted by the user; or
  9. the Cookie file is replaced by a Cookie file of another Partner.
  10. The referral is not recognized if it took place within 24 hours of the Partner setting up the User Account or if the Partner and the Referred Customer have the same IP address.
  11. The Partner may refer any number of Potential Customers.
  12. The Partner can run more than one Affiliate Campaign. The Affiliate Campaign is created in the Affiliate Program Panel. Each Affiliate Campaign can have a different commission amount configured for the Partner and a discount for the Customer. An individual Referral Link assigned by the Organizer’s IT system is assigned for each Affiliate Campaign.
  • 5 Responsibilities of the Partner
  1. The Affiliate Program Partner agrees in particular:
  2. to promote the Services, in a manner determined by him, on the Partner Site, using the Materials;
  3. not to modify the Materials without prior consultation and approval of the Organizer – this restriction does not apply to modification of the Referral Link to the extent not involving the URL of the Site;
  4. not to use the Google Ads system or other forms of PPC advertising;
  5. to cooperate with the Organizer in the performance of the Services;
  6. to present the Services and the Organizer accurately and not to make any statements on the Partner’s Site regarding the Organizer and the Services that are not factually or legally correct; in case of any doubts about the information regarding the Organizer or the Service, the Partner agrees to consult these doubts with the Organizer before posting the information in question;
  7. not to take actions that violate the personal goods or legally protected interests of the Organizer;
  8. to undertake activities related to the Affiliate Program in a manner consistent with applicable laws;
  9. to immediately notify the Organizer of any technical problem that results in the Materials or Partner’s Materials not linking properly to the Cryptiony Website or Platform;
  10. to ensure that he is authorized to post and maintain the Materials and Partner’s Materials on the Partner’s Site;
  11. to reliably inform Potential Customers of the terms of participation in the Affiliate Program in accordance with these Terms;
  12. to remove the Materials or Partner’s Materials at any request of the Organizer, including without stating any reason – the Partner agrees to remove the Materials or Partner’s Materials covered by the request within 72 hours from the time of receiving the request from the Organizer, regardless of the form in which the request was made;
  13. not to place on the Partner’s Site and in the Partner’s Materials any markings, including logos belonging to entities competing with the Organizer, in particular, other entities providing cryptocurrency tax automation services;
  14. not to use tools in the form of aggregators of promotional codes, discount codes, service comparison engines and company directories, to the extent that the main purpose of these tools is to promote multiple services of different providers and to present multiple discount codes.
  15. Violation of the provisions referred to above entitles the Organizer to immediately exclude the Partner from participation in the Affiliate Program by making an appropriate statement.

Section 6 Responsibilities of the Organizer 

  1. The Organizer undertakes to:
  2. operate the Website and provide the Services in accordance with the applicable Terms;
  3. perform all technical support activities related to the maintenance of the Services;
  4. update the Materials in case of changes in circumstances related to the Services or the Organizer;
  5. perform all activities related to the day-to-day customer service in the field of Services, including receiving and processing complaints, providing information;
  6. provide the Platform Users with the Services with due diligence;
  7. pay the Remuneration in accordance with the principles set forth in the Terms.

Section 7 Materials and Logos of the Parties

  1. The Parties authorize each other to use each other’s logos, markings and names in social media and on the Website solely for the purpose of advertising and performance of the Service and to the extent necessary to ensure compliance with the Terms, during the term of the Affiliate Program.
  2. In connection with the provisions contained in item 1. above, the Parties agree to use the Materials, including logos, markings and names for purposes related to the Affiliate Program.
  3. In the event that the Parties find any improper use of logos, designations or names, the Party that finds such improper use shall summon the offending Party to promptly remove the found violations. The summoned Party undertakes to comply with the summons within no more than 7 days from the date of receipt of the summons.
  4. The Parties declare that the Materials referred to herein are free of legal defects, i.e., in particular, the copyrights to these Materials are vested in full in each of the Parties.
  5. The Parties declare that in the event that it turns out that any third parties have rights to the Materials, the Party affected by this provision shall fully indemnify the other Party or cover all costs the latter has incurred due to the absence of such rights.
  6. Upon termination of the Affiliate Program or upon exclusion of the Partner, the Parties agree to immediately, but no later than within 7 days, remove logos, names from all places where they were used by the Parties.
  7. The provisions of this section also apply to the Partner’s Materials.

Section 8 Remuneration

  1. In connection with participation in the Program and on account of acquiring the Organizer’s Customer through the actions of the Partner and under the terms described in these Terms, the Partner shall be entitled to remuneration.
  2. Remuneration is due to the Partner only during participation in the Affiliate Program and only for the duration of the Affiliate Program.
  3. The Partner shall be entitled to Remuneration if the Customer, within 365 days from the date of using the Referral Link posted on the Partner’s Site, orders and pays for the Service in full.
  4. The Partner shall be entitled to half of the Remuneration if the Customer, after 365 days but before 730 days from the date of using the Referral Link posted on the Partner’s Site, orders and pays for the Service in full.
  5. In case the Customer places orders during both periods referred to in item 2 and 3, the Partner is entitled to both the Remuneration referred to in item 2, as well as half of the Remuneration referred to in item 3.
  6. The Remuneration is of a commission nature and is calculated as a percentage of the gross amount that the Customer has paid for the Service. The calculated remuneration is the gross amount.
  7. The amount of commission for the Partner may be a maximum of 20%.
  8. The Partner may give up part (or all) of the commission in favour of the Customer discount.
  9. In the case of giving up part (or all) of the commission in favour of the Customer discount, the Customer discount is valid 365 days from the date of using the Referral Link.
  10. The default configuration suggested by the Organizer and available by default in the Affiliate Program Panel for the Partner commission / Customer discount is 10% of the Partner commission and 10% of the Customer discount.
  11. The commission amount is set by each Partner individually in the Affiliate Program Panel at the time of creating an Affiliate Campaign. The commission amount within the created Affiliate Campaign is not subject to change.
  12. The commission is calculated on the total amounts of the Customer’s orders.
  13. Funds earned by the Partner of the Program are verified and accrued (recognized as accepted by the Organizer) within 30 days after the Customer’s order is placed.
  14. Funds accepted by the Organizer for withdrawal can be paid out.
  15. In case the Partner is charged an incorrect amount of commission as a result of a technical error, the Organizer reserves the right to adjust the Partner’s balance accordingly, of which it will immediately notify the Partner by e-mail correspondence.
  16. The commission award is verified (acceptance by the Organizer of the funds to be paid) in terms of the Partner’s compliance with the Terms. In case of negative verification (finding of a violation of the Terms), the Organizer may:
  17. refuse to grant commissions with respect to Customers acquired in violation of the Terms. The Partner will be notified of the refusal by e-mail correspondence, together with the reasons for the refusal;
  18. exclude the Partner from the Affiliate Program.
  19. The minimum withdrawal amount is PLN 50,00.
  20. The minimum withdrawal amount can be reached from any number of Affiliate Campaigns (the funds accepted by the Organizer for payout add up from all Affiliate Campaigns of the Partner).
  21. In case of cancellation of participation in the Program, funds can be paid out, provided that they have been accepted by the Organizer and the minimum withdrawal amount has been reached.
  22. Withdrawal of Remuneration shall be made at the express request of the Partner, i.e. after submitting the Withdrawal Order in the Affiliate Program Panel.
  23. The Remuneration shall be paid within 21 days from the date of receipt by the Organizer of a properly submitted Withdrawal Order in the Affiliate Program Panel.
  24. The most active Partner of the Program may apply for individual terms of cooperation.
  25. Individual terms and conditions of cooperation can be established with the Organizer via e-mail sent to [email protected].

Section 9 Final Provisions

  1. The validity of Cookie files placed in the Referred Customer’s web browser is 30 days.
  2. The Organizer is the administrator of the collection of personal data of Partners participating in the Program.
  3. The Partner has the right to make a complaint related to participation in the Affiliate Program. The complaint should be sent to [email protected]. The Organizer is obliged to respond to the received complaint within 30 days from the date of its receipt.
  4. The Partner has the right to terminate participation in the Program. To do so, he needs to send a statement of termination of participation in the Affiliate Program from the email address assigned to the User Account to [email protected]. Termination of participation in the Program does not limit the right to withdraw already accumulated funds.
  5. If the Partner does not comply with the provisions of these Terms, the Organizer has the right to exclude the Partner from the Program. In such a situation, the Organizer will inform the Partner about the exclusion from the Program via e-mail to the e-mail address provided by the Partner on the User Account on the Cryptiony Platform. Exclusion from the Program is not equivalent to blocking access to the account on the Platform. Exclusion from the Program prevents the receipt of Remuneration for referrals, including withdrawal of accumulated funds.
  6. The Organizer has the right to terminate the Program at any time by making an announcement on its website. The announcement will state the termination date of the Program, not less than 14 days. Termination of the Program does not limit the right of Partners to withdraw the funds already accumulated.
  7. These Affiliate Program Terms are a subordinate document to the Website Terms and Privacy Policy.
  8. These Terms may be amended at any time by posting a new version on the Website. If the changes to the Terms are significant, the Partners will be additionally notified of the changes via email (to the email address assigned to the User Account). If the Partner does not report non-acceptance within 14 days of the announcement of the change, it is assumed that the Partner has accepted the changes. If the Partner does not accept the changes to the Terms, he has the right at any time to send a request to the Organizer to terminate participation in the Program.
  9. The Organizer reserves the right of final interpretation of the Terms.
